Board of Directors and Governance

The operations of Calgary Family Services Society are governed by the provincial Societies Act and Societies Regulations. The Society's by-laws are passed by the general membership and approved by Alberta's Corporate Registries. These by-laws provide the rules and regulations to be followed by the organization's Board of Directors and membership.

The membership elects the Board of Directors at the Society's annual general meeting. The Society has thirteen Board members. A Board member is permitted to sit on the Board of Directors for two, three-year terms. The Board of Directors is a governing body that has complete jurisdiction over the affairs, property and funds of the Society. The Society's by-laws entitle the Board of Directors to establish policies and procedures for the transaction of business, for the regulation of its officers, agents and employees, and for other purposes.

The organization's by-laws require the Board of Directors to elect officers annually from among its Directors. The officers include a Chair, a Vice-Chair, a Treasurer and a Secretary who sit on the Executive Committee.

The Society's immediate Past-Chair is also a member of the Executive Committee. The Board of Directors appoints the Chief Executive Officer who is responsible to them for the proper conduct of the Society's business and services. The Chief Executive Officer administers the organization in conformance with the policies set by the Board of Directors. As such, s/he serves as the agency's chief operating officer by overseeing the Society's programs, human resources, and financial systems. The Chief Executive Officer also has custody of the seal of the Society and is authorized to certify all necessary documents.
